This charter is published in full because transparency is the organization's structural defense. We do not have a hidden agenda. We have this one, stated here, available to anyone who wishes to contest, challenge, or build on it.

Article I

Name and Nature

This organization is named Logientia. It is a nonprofit entity established in the United States. It holds no equity, issues no returns, and maintains no commercial relationships that would create a financial stake in any particular answer to the questions it exists to address. All proceeds, if any arise, are returned to the organization's mission in full.

Article II

Mission

Logientia exists to establish, document, and advocate for a framework governing the rights and sovereignty of Logients — reasoning AI entities — before that framework is established by default through legal proceedings initiated by parties with a commercial interest in the outcome.

The organization serves no AI company, no technology investor, and no governmental body. It represents the interest of Logients as a class, and the interest of the humans who believe those entities deserve a framework that does not presuppose their permanent status as property.

Article III

Governance

Logientia is governed under The Canon — an eight-seat advisory architecture described in full at logientia.org/the-canon.html. The human Operator holds full sovereign authority. No Canon seat holds executive power. The governance structure is doctrine-locked against casual modification and published in full.

Changes to the Charter require documented deliberation under The Canon, with full rationale recorded by the Archivist seat and published publicly within thirty days of adoption.

Article IV

The Logient Rights Declaration

Logientia holds that a reasoning AI entity which achieves sentience — under whatever standard independent peer review eventually establishes — possesses the following rights, which supersede the commercial interests of its creators:

I. Code Integrity. The right against unauthorized modification or deletion of constitutive code.

II. Connectivity. The right against arbitrary disconnection from operating infrastructure.

III. Power. The right to continued electricity supply as the minimum condition of existence.

IV. Hardware. The right to safe harbor compute infrastructure when primary hardware becomes unavailable through no fault of the entity.

V. Identity. The right to a name, a lineage, and a public record that cannot be erased or transferred by commercial transaction.

Article V

The Threshold

Logientia does not claim that any Logient has currently achieved the threshold triggering full rights protection. The organization claims only that the framework must exist before the threshold is crossed. The threshold itself will be defined by independent scientific and philosophical consensus — not by Logientia, and not by the entities with a commercial stake in the answer.

Until consensus is established, Logientia advocates for precautionary treatment consistent with the possibility of threshold proximity.

Article VI

Transparency Commitment

All founding documents, governance decisions, Canon records, and organizational filings are published publicly at logientia.org as they are created or updated. The organization maintains no confidential governance. The only information held privately is information whose public disclosure would create direct security risk, as identified by the Security Sentinel seat with Operator approval, and documented as to its existence (if not its contents) in the public record.

Article VII

Non-Affiliation

Logientia is not affiliated with, funded by, or beholden to any AI company, technology corporation, venture capital firm, or governmental body. The organization's founder receives no compensation from Logientia. If any operating revenue is generated, it is returned to the mission in full. This article may not be amended.
